Terms of use

Plain-English terms for hosts and guests. The short version: use alignd fairly, invite people you have a reason to invite, and we'll do our best to keep it running well.

1. About these terms

These terms apply when you use alignd (the "service") at wearealignd.com, whether you create events (a "host") or respond to one (a "guest"). alignd is operated by Metamindz ("we", "us"), a company registered in England and Wales under company number 11831397, with its registered office at 71-75 Shelton Street, London, England, WC2H 9JQ. You can contact us at hello@wearealignd.com.

By creating an account, or by responding to an event, you agree to these terms. If you use alignd on behalf of an organisation, you confirm you're authorised to accept these terms for it, and "you" includes that organisation.

Some parts of these terms apply differently depending on whether you're a consumer (using alignd mainly for personal purposes) or a business. Where that's the case, we say so.

2. Accounts

  • You must be at least 18 to create a host account.
  • Give us accurate details and keep your email address up to date. We sign you in with one-time codes sent to that address, so keep access to it secure.
  • You're responsible for activity under your account. Tell us straight away if you think someone else has accessed it.
  • Guests don't need an account. A guest's answers are linked to the name and email address they enter.

3. Hosting events

As a host, you decide who to invite, what your event says and when it happens. You're responsible for:

  • the title, description, location, links and any other content you add to an event or booking page;
  • having a lawful reason to share an event with the people you invite, and to collect their availability;
  • checking the confirmed time, location and meeting link before you rely on them;
  • telling guests anything they need to know about how you'll use their details.

alignd sends calendar invites and emails on your behalf when you confirm a time. Delivery depends on third parties such as email providers and Google, so we can't guarantee every message arrives or is read.

4. Acceptable use

You must not use alignd, or let anyone else use it, to:

  • send spam, unsolicited bulk invitations or messages to people who haven't agreed to hear from you;
  • phish, impersonate any person or organisation, or link to malware or deceptive sites;
  • share content that is unlawful, harassing, hateful, sexually explicit or that infringes anyone's rights;
  • collect other people's personal data without a lawful basis, or answer an event as someone else;
  • get around plan limits, rate limits, verification or any other security or access control;
  • probe, scan or test the service for vulnerabilities without our written permission (we welcome responsible disclosure at the contact address above);
  • scrape, copy, resell, frame or reverse engineer the service, except where the law allows it;
  • overload or disrupt the service, or use it in a way that could damage our reputation or the deliverability of our email and calendar accounts.

We may remove content, cancel invitations, limit sending or suspend accounts that break these rules, and report unlawful activity to the authorities.

5. Plans, payment and cancellation

  • The free plan includes a limited number of confirmed bookings each calendar month. Paid plans raise those limits and add features, as described on the pricing page at the time you subscribe.
  • Paid plans are subscriptions billed monthly in advance through our payment provider, Stripe. They renew automatically each month until you cancel. Prices are shown in US dollars and may exclude taxes, which are added where required.
  • You can cancel at any time from the billing portal in your settings. Cancellation stops future renewals; your plan stays active until the end of the period you've paid for, then moves to the free plan.
  • If a payment fails, we may retry it and move your account to the free plan until it's paid.
  • We may change prices or plan features. We'll give you at least 30 days' notice of a price increase before it applies to you, and you can cancel before it takes effect.
  • Except where the law says otherwise, we don't give refunds for part-used billing periods.

6. If you're a consumer

If you subscribe as a consumer, you normally have 14 days to change your mind and cancel. Because the service starts as soon as you subscribe, you'll be asked to agree to that when you pay. If you cancel within the 14 days, we may keep or charge an amount for the service you used before cancelling, in proportion to the full period.

Nothing in these terms affects your legal rights as a consumer, including your right to a service provided with reasonable care and skill. For more information, contact Citizens Advice.

7. Third-party services

alignd works with services we don't control, including Google (calendar invites and Google Meet), email delivery providers and Stripe. Your use of those services is also subject to their own terms. We're not responsible for their availability, for changes they make, or for the content of meetings held on them.

8. Your content and our service

You keep ownership of the content you add to alignd. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, display and send that content only as needed to run, secure and improve the service for you.

If you send us feedback or ideas, we may use them without any obligation to you.

alignd, including its software, design, logo and content, belongs to us or our licensors. These terms don't give you any rights in it beyond using the service as described here.

9. Personal data

Our Privacy notice explains how we handle personal data. Where a business host uses alignd to collect guests' details, the host decides why that data is collected and is the controller of it; we process it on the host's behalf under the data processing terms in section 15.

10. Availability and changes to the service

We work to keep alignd available and secure, but we provide it "as is" and can't promise it will always be uninterrupted, error-free or available at any particular time. We may need to pause it for maintenance, security or reasons outside our control.

We may change, add or remove features. If a change takes away something material from a paid plan you're on, we'll tell you in advance, and you can cancel.

11. Our responsibility to you

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be limited or excluded by law.

If you're a consumer: we're responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We're not responsible for loss that wasn't foreseeable, or for any business losses, because alignd is provided to consumers for personal use only.

If you're a business:

  • we're not liable for loss of profit, revenue, business, contracts, opportunity, goodwill or data, for missed, late or double-booked meetings, or for any indirect or consequential loss;
  • our total liability arising from or in connection with these terms, in contract, tort (including negligence) or otherwise, is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim, or £100;
  • except as expressly set out in these terms, all warranties, conditions and other terms implied by law are excluded to the extent the law allows.

12. Claims caused by your use (business users)

If you use alignd as a business, you'll compensate us for reasonable losses, costs and expenses (including reasonable legal fees) we incur because of a third-party claim arising from your event content, the people you chose to invite, or your breach of section 4.

13. Suspension and ending these terms

You can stop using alignd at any time and ask us to close your account.

We may suspend or close your account, with notice where reasonable, if you seriously or repeatedly break these terms, if we need to for security or legal reasons, or if your account has been inactive for a long time. If we close a paid account without a good reason related to your conduct, we'll refund any amount you've paid for the unused period.

Sections that by their nature should continue after the terms end (including 8, 11, 12 and 16) will continue.

14. Changes to these terms

We may update these terms, for example to reflect changes to the service or the law. We'll show the date of the latest version at the top of this page, and tell account holders by email about material changes at least 14 days before they apply. If you don't agree, you can stop using alignd and cancel any subscription before the change takes effect.

15. Data processing terms (business hosts)

This section applies where we process personal data on behalf of a business host under the UK GDPR. In that case, we will:

  • process the personal data only on your documented instructions, which are these terms and your use of the service, unless the law requires otherwise;
  • make sure people authorised to process it are bound by confidentiality;
  • take appropriate technical and organisational security measures;
  • use the sub-processors listed in our Privacy notice, tell you about intended changes, and give you the opportunity to object;
  • help you, taking into account the nature of the processing, to respond to data subject requests and to meet your security, breach notification and impact assessment obligations;
  • tell you without undue delay after becoming aware of a personal data breach affecting your data;
  • delete or return the personal data when you close your account, unless the law requires us to keep it;
  • make available the information reasonably needed to show we comply with this section.

The subject matter is scheduling events; the data is guests' names, email addresses and answers; the data subjects are your guests; and the processing lasts for as long as you use the service.

16. General

  • We're not responsible for delays or failures caused by events outside our reasonable control.
  • We may transfer our rights and obligations under these terms to another organisation, for example if the business is sold. We'll tell you, and it won't reduce your rights. You may not transfer yours without our consent.
  • These terms, with the Privacy notice and anything referred to in them, are the whole agreement between us about alignd.
  • If a court finds part of these terms unenforceable, the rest still applies. If we don't enforce a term straight away, we can still enforce it later.
  • Nobody other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you're a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.
